Regulation A Filing Requirements

Regulation A is a federal exemption from registration for public offerings. Regulation A has two offering tiers - Tier 1 and Tier 2. Tier 1 is subject to state qualification while Tier 2 is subject to state notice filing. (Please see the SEC website for Regulation A eligibility).

The Commission staff requires the following filing documents:

• Filing feeAlabama collects a variable fee: one tenth of one percent of the aggregate offering price of the securities which are to be offered in Alabama, and no less than $100.00 but not to exceed a fee of $1,500.00. Fees should be payable to "Alabama Securities Commission".

  In addition to the variable fee, there a is a $40.00 application fee.

• Application form (Form U-1 is acceptable)
• Financial statements
• A Consent to Service of Process (Form U2)
• SEC Form 1-A with exhibits
• A review of the documents may warrant a request for further information
